1. Acceptance of Terms

By creating an account or using Audikets ("the Service"), you agree to these Terms of Service ("Terms"). If you are using Audikets on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Audikets is a SaaS platform that converts voice recordings and unstructured input into AI-structured tickets on a Kanban board. Features include voice transcription, AI ticket structuring, project management, team collaboration, and subscription billing.

3. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Upload content that is defamatory, harassing, or infringes on intellectual property rights.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with the Service's infrastructure or other users' access.
• Use automated tools to scrape data or overload the platform.
• Resell or sublicense access to the Service without written permission.

5. Intellectual Property

Audikets and its original content, features, and functionality are owned by Audikets and protected by copyright, trademark, and other laws. Your data remains yours — we claim no ownership over content you submit.

By uploading voice recordings and other content, you grant us a limited, non-exclusive license to process that content solely for delivering the Service (e.g., transcription and AI structuring).

6. Subscriptions & Billing

Paid plans are billed in advance on a monthly or annual basis. Prices are listed on our pricing page and may change with 30 days' notice. Refunds are handled on a case-by-case basis at our discretion.

If payment fails, we may downgrade or suspend your access after a grace period. You are responsible for any applicable taxes.

7. Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue using premium features. We will notify you before the trial expires.

8. Termination

You may cancel your account at any time from your account settings. We may terminate or suspend access immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or legitimate business purposes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

AI-generated ticket content (titles, priorities, descriptions) is provided as a suggestion. You are responsible for reviewing and approving all AI output before acting on it.

10. Limitation of Liability

To the maximum extent permitted by law, Audikets shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total aggregate liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Audikets and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions.
